These terms of use are entered into by and between you and Neumoco Limited (“Neumoco,” “we,” “us,” or “our”). The following terms and conditions (“Terms”), together with our Privacy Policy, govern your access to and use of https://neumoco.com/, including any content, functionality, services offered on or through https://neumoco.com/ (the “Site”), and any software provided by Neumoco (the “Software”).

Changes to the Terms
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Site and Software thereafter. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or prior to the date the change is posted on the Site.

Access to the Site

We are not responsible for any loss or harm related to your inability to access or use the Site, except as provided in the Access to Software section below. You are responsible for making all arrangements necessary for you to have access to the Site.

If you or the entity you represent choose, or are provided with, a user name, password, a link or a code, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person (unless creating an entity account), except to your personal representative where applicable. You also acknowledge that any account you create (if applicable) or application you complete via the Site is personal to you, or the entity you represent.
We have the right to disable any access, user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms, except as provided in the Access to Software section below.
Access to Software
By downloading, installing, or using the Software provided by Neumoco, you agree to be bound by these Terms, in addition to any end-user license agreement (EULA) or other agreement specific to the Software.
1. License Grant: We grant you a non-exclusive, non-transferable, limited license to access and use the Software for personal or internal business purposes, in accordance with these Terms and any applicable EULA.
2. Service Assurance: Neumoco commits to providing access to the Software for all existing customers throughout the duration of their agreement with us. We will make reasonable efforts to ensure the Software remains available and functional during this period. However, we reserve the right to perform scheduled maintenance or updates, which may result in temporary unavailability. We will provide advance notice of any scheduled downtime whenever possible.
3. Termination of Software Access: We may suspend or terminate your access to the Software if you breach these Terms, any applicable EULA, or the terms of your specific agreement with Neumoco. However, for existing customers, termination of Software access will only occur in accordance with the specific terms of their agreement and after appropriate notice has been provided. In the event of termination, existing customers will be offered alternatives or refunds as stipulated in their agreement.
4. Support: During the agreement period, Neumoco will provide support services to help resolve any issues related to the Software, as specified in the relevant agreement.
Intellectual Property Rights
The Site, Software, and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio), are owned by Neumoco, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms permit you to use the Site and Software for your personal, non-commercial use only. You must not reproduce, publish, distribute, modify, download, store, or transmit any of the material on our Site or Software, except as allowed under these Terms or an applicable EULA.
If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Site or Software in breach of the Terms, your right to use the Site or Software will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. Any use of the Site or Software not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.
Trademarks
The Neumoco name, the Neumoco logo, and all related names, logos, product and service names are trademarks of Neumoco. You must not use such marks without the prior written permission of Neumoco.
Prohibited Use
You may use the Site and Software only for lawful purposes and in accordance with these Terms. You agree not to use the Site or Software, or any part thereof, for any of the prohibited purposes and actions listed in the original terms provided.
Reliance on Information Posted
The information presented on or through the Site and Software is made available solely for general information purposes unless otherwise specified.
Unless otherwise specified, we do not warrant the accuracy, completeness, or usefulness of this information, and any reliance you place on such information is strictly at your own risk. As far as legally permissible, we disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Site, or by anyone who may be informed of any of its contents.
Changes to the Site or Software

Unless otherwise specified, the Terms and our Privacy Policy constitute the sole and entire agreement between you and Neumoco Limited with respect to the Site and Software and supersede all prior understandings, agreements, representations, and warranties, both written and oral, with respect to the Site and Software, including any prior versions of these Terms.
